Ltd.<\/p>\n        <div class=\"last-updated-badge\">Last Updated: March 26, 2026 (Chaitra 13, 2082)<\/div>\n    <\/header>\n\n    <main class=\"vasuko-legal-container\">\n        <p>These Terms of Service (\u201cTerms\u201d) are a binding legal agreement between you and Vasuko App Solutions Pvt. Ltd. that govern your right to use the websites, applications, and other offerings from Vasuko (collectively, the \u201cVasuko Platform\u201d). When used in these Terms, \u201cVasuko,\u201d \u201cwe,\u201d \u201cus,\u201d or \u201cour\u201d refers to the Vasuko entity with whom you are contracting.<\/p>\n        \n        <p>The Vasuko Platform enables users (\u201cMembers\u201d) to publish, offer, search for, and book accommodation and related services. Members who publish and offer services are \u201cHosts\u201d (Landlords\/Property Managers) and Members who search for, book, or use services are \u201cGuests\u201d (Tenants\/Renters).<\/p>\n        \n        <p>Hosts offer residential spaces including, but not limited to, single rooms, apartments, flats, and houses (\u201cAccommodations\u201d), as well as related amenities or property management assistance (collectively, \u201cHost Services,\u201d and each Host Service offering, a \u201cListing\u201d).<\/p>\n        \n        <p>As the provider of the Vasuko Platform, Vasuko App Solutions Pvt. Ltd. does not own, create, sell, resell, control, offer, or manage any Listings or Host Services. Vasuko is not a party to the rental agreements or contracts entered into directly between Hosts and Guests. Vasuko is not a real estate broker, a traditional rental agency, or an insurer. Vasuko is not acting as an agent in any capacity for any Member, except as specified in the Payments Terms of Service regarding the collection and remittance of funds.<\/p>\n\n        <div class=\"section-divider\">GUEST TERMS<\/div>\n\n        <h2>1. Searching and Booking on Vasuko<\/h2>\n        \n        <h3>1.1 Searching<\/h3>\n        <p>You can search for Host Services (Rooms, Flats, or Apartments) by using criteria such as location (e.g., Kathmandu, Ghorahi), type of listing, rental duration, and budget. You can also use filters to refine your search results. Search results are ranked based on relevance, which considers factors like:<\/p>\n        <ul>\n            <li><strong>Pricing and Availability:<\/strong> Real-time updates from the Host.<\/li>\n            <li><strong>Trust Factors:<\/strong> Verification status (Nagarikta\/NID verified), User Reviews, and Host responsiveness.<\/li>\n            <li><strong>Platform History:<\/strong> Cancellation history and popularity within the Vasuko community.<\/li>\n            <li><strong>Host Requirements:<\/strong> Minimum stay duration or specific household rules (e.g., \"No Pets\" or \"Vegetarian only\").<\/li>\n        <\/ul>\n\n        <h3>1.2 Booking<\/h3>\n        <p>When you book a Listing, you are agreeing to pay all charges identified during checkout (collectively, the \u201cTotal Price\u201d), which includes:<\/p>\n        <ul>\n            <li><strong>The Listing Price:<\/strong> The base rent set by the Host.<\/li>\n            <li><strong>Vasuko Service Fee:<\/strong> A fee charged by the Platform for facilitating the connection and providing support.<\/li>\n            <li><strong>Applicable Taxes:<\/strong> Including any applicable government taxes as per Nepal law.<\/li>\n        <\/ul>\n        <p>You authorize Vasuko, via our integrated payment partners (such as eSewa or Bank Transfer), to charge your selected Payment Method for the Total Price.<\/p>\n        <p>Upon receiving a Booking Confirmation, your reservation is recorded in the Vasuko Platform. The reservation represents an agreement between you and the Host for the stay, facilitated by Vasuko. By making a reservation, you agree to comply with these Terms and any rules set by the Host. It is your responsibility to read and understand these terms prior to confirming your booking.<\/p>\n\n        <h3>1.3 Accommodation Reservations (The \"Limited License\")<\/h3>\n        <p>An Accommodation Reservation grants you a limited license to enter, occupy, and use the property for the duration of the booked period. It does not grant permanent tenancy or any legal rights beyond the stay booked through the Vasuko Platform.<\/p>\n        <ul>\n            <li><strong>Host Access:<\/strong> The Host may enter the accommodation during your stay only for reasonable purposes such as emergencies or pre-scheduled maintenance, as agreed between you and the Host. Vasuko does not control or enforce such access.<\/li>\n            <li><strong>Overstaying:<\/strong> If you stay past the checkout time or the agreed rental period without the Host\u2019s consent, the Host has the right to require you to leave in a manner consistent with the Civil Code of Nepal, including the imposition of reasonable overstay penalties.<\/li>\n            <li><strong>Occupancy Limits:<\/strong> You may not exceed the maximum number of Guests\/Tenants allowed by the Host in the Listing.<\/li>\n        <\/ul>\n\n        <h3>1.4 Reservations for Additional Services<\/h3>\n        <p>If a Host offers additional services (such as furniture, internet, or cleaning), your Reservation may include access to those services. Vasuko does not provide, manage, or guarantee these services\u2014you are responsible for confirming availability, meeting any requirements, and notifying the Host of any circumstances that may affect safe use.<\/p>\n        <p>In compliance with the E-Commerce Act, 2025 (2081) and the Consumer Protection Act, 2075, users are entitled to remedies if services are not provided as described. Vasuko ensures transparency but is not responsible for refunding or enforcing services provided directly by Hosts beyond facilitating the booking.<\/p>\n\n        <h2>2. Cancellations, Issues, Refunds, and Booking Modifications<\/h2>\n        <p>Guests may cancel a Reservation and request a refund only if the cancellation is made at least 24 hours before the scheduled check-in time.<\/p>\n        <ul>\n            <li><strong>Refund Process:<\/strong> The refund is issued by the Host according to their cancellation policy. Vasuko only facilitates communication and does not control or guarantee refunds.<\/li>\n            <li><strong>Cancellations Within 24 Hours:<\/strong> If a Guest cancels less than 24 hours before check-in, no refund is available.<\/li>\n            <li><strong>Host Cancellations:<\/strong> If a Host cancels a confirmed Reservation, the Guest is entitled to a full refund of the Total Price, including service fees and taxes. Vasuko will notify the Guest and assist in communication.<\/li>\n            <li><strong>Reservation Issues:<\/strong> If the Accommodation is significantly different from the Listing (e.g., unsafe conditions or incorrect location), the Guest may contact the Host to request rebooking or a refund. Vasuko can assist in communication but does not decide refunds.<\/li>\n        <\/ul>\n\n        <h3>2.1 Booking Modifications<\/h3>\n        <p>Guests and Hosts are responsible for any modifications to a booking (e.g., changing dates or adding guests) made through the Vasuko Platform. You agree to pay any additional rent, service fees, or taxes triggered by a Booking Modification.<\/p>\n\n        <h2>3. Your Responsibilities and Assumption of Risk<\/h2>\n        \n        <h3>3.1 Your Responsibilities<\/h3>\n        <p>You are legally responsible for your own acts and omissions and those of any person you invite into the Accommodation or Common Areas (e.g., shared hallways, terraces, or compound gates). This means:<\/p>\n        <ul>\n            <li><strong>Property Condition:<\/strong> You must leave the Accommodation and its contents in the same condition as when you arrived.<\/li>\n            <li><strong>Damage Claims:<\/strong> You are responsible for paying all reasonable Damage Request amounts. Under the Civil Code, 2074, you are liable for any structural or aesthetic damage caused by negligence.<\/li>\n            <li><strong>Integrity and Law:<\/strong> You must treat Hosts and neighbors with respect and comply with all prevailing laws of Nepal, including local Ward regulations regarding noise and waste management.<\/li>\n            <li><strong>Minors:<\/strong> If you bring a minor, you must be their legal guardian or have written authorization. You are solely responsible for their supervision and any damage they may cause.<\/li>\n        <\/ul>\n\n        <h3>3.2 Your Assumption of Risk (Legal Disclaimer)<\/h3>\n        <p>You acknowledge that many rental activities (especially in mountainous or rural areas of Nepal) carry inherent risks. To the maximum extent permitted by the Electronic Transactions Act, 2063, you assume the entire risk arising out of your use of the Vasuko Platform and your stay at any Accommodation.<\/p>\n        <ul>\n            <li><strong>Due Diligence:<\/strong> It is your responsibility to investigate a Listing to determine if it is suitable for your health and safety needs.<\/li>\n            <li><strong>Inherent Risks:<\/strong> You acknowledge that some Host Services may carry risks of illness or bodily injury (e.g., steep stairs, high altitude, or remote locations), and you willfully assume these risks by choosing to book.<\/li>\n        <\/ul>\n\n        <h2>4. Hosting on Vasuko<\/h2>\n        \n        <h3>4.1 The Role of a Host<\/h3>\n        <p>As a Host, Vasuko offers you the right to use the Platform to share your Accommodation (Room, Flat, or House) with our community of Guests. You are in full control of your Listing\u2014you set the price, determine availability, and establish House Rules (e.g., \"Student-only,\" \"No Smoking,\" or \"Vegetarian Kitchen\").<\/p>\n        <ul>\n            <li><strong>Safety Guarantee:<\/strong> By creating a Listing, you represent that your Accommodation is safe for human habitation and complies with the structural and health standards required under Section 384 of the Civil Code, 2074.<\/li>\n        <\/ul>\n\n        <h3>4.2 Contracting with Guests<\/h3>\n        <p>When you receive a booking confirmation through the Vasuko Platform, you are entering into a legally binding contract directly with the Guest.<\/p>\n        <ul>\n            <li><strong>Service Delivery:<\/strong> You are responsible for providing the Accommodation at the price and terms specified in your Listing.<\/li>\n            <li><strong>Fees and Payouts:<\/strong> You agree to pay Vasuko\u2019s Service Fee for each booking. Our payment partner (eSewa or Bank Transfer) will deduct these fees from your payout automatically.<\/li>\n            <li><strong>Supplemental Contracts:<\/strong> If you require a separate written rental agreement (mandatory under Nepal law if rent exceeds NPR 20,000\/month), the terms of that agreement must be consistent with these Terms and prominently disclosed in your Listing.<\/li>\n            <li><strong>Tax Responsibilities:<\/strong> As a Host in Nepal, you are responsible for paying the House Rent Tax (typically 10% for individuals) to your local Ward Office or the Inland Revenue Department (IRD). Vasuko may provide you with summary reports to assist in your tax filings but does not act as your tax advisor.<\/li>\n        <\/ul>\n\n        <h3>4.3 Independence of Hosts<\/h3>\n        <p>Your relationship with Vasuko is that of an Independent Contractor (not an employee, agent, or partner).<\/p>\n        <ul>\n            <li><strong>No Employment:<\/strong> You acknowledge that Vasuko does not direct or control your Hosting services. You have complete discretion over when to host and how to price your property.<\/li>\n            <li><strong>Platform Compliance:<\/strong> In accordance with the E-Commerce Act, 2025, you agree to keep your Listing information (Price, Photos, Amenities) accurate and updated. Failure to provide a service that matches your Listing description may result in a mandatory refund to the Guest.<\/li>\n        <\/ul>\n\n        <h2>5. Managing Your Listing<\/h2>\n        \n        <h3>5.1 Creating and Managing Your Listing<\/h3>\n        <p>The Vasuko Platform provides digital tools to set up and manage your Listing.<\/p>\n        <ul>\n            <li><strong>Accuracy:<\/strong> Your Listing must include complete and accurate information about the Accommodation, the total rent, and your specific House Rules.<\/li>\n            <li><strong>Maintenance:<\/strong> You are responsible for keeping your Listing (including calendar availability and photos) up-to-date. In accordance with the E-Commerce Act, 2025, any discrepancy between the Listing and the actual property may result in a mandatory refund to the Guest.<\/li>\n            <li><strong>Listing Integrity:<\/strong> You may only maintain one Listing per unique Accommodation. Duplicate listings for the same room are prohibited and may result in account suspension.<\/li>\n        <\/ul>\n\n        <h3>5.2 Know Your Legal and Local Obligations<\/h3>\n        <p>As a Host in Nepal, you are solely responsible for understanding and complying with all laws, rules, and regulations that apply to your Listing. This includes:<\/p>\n        <ul>\n            <li><strong>Local Governance:<\/strong> Complying with rules set by your Tole Sudhar Samiti, Homeowners\u2019 Association, or Apartment Management Committee regarding tenants and visitors.<\/li>\n            <li><strong>Registration & Permits:<\/strong> Certain jurisdictions in Nepal require you to register your tenants with the local Ward Office or the Police Station (Janapad Prahari).<\/li>\n            <li><strong>Tenancy Rights:<\/strong> Be aware that long-term stays (typically over 30 days) may trigger specific protections under the National Civil Code, 2074, regarding eviction notice periods and security deposit returns.<\/li>\n            <li><strong>Privacy Compliance:<\/strong> You are responsible for handling Guest personal data (such as Citizenship copies provided for KYC) in strict compliance with the Individual Privacy Act, 2075 and Vasuko\u2019s Host Privacy Standards.<\/li>\n        <\/ul>\n\n        <h3>5.3 Search Results and Ranking<\/h3>\n        <p>The ranking of Listings in Vasuko search results depends on several parameters:<\/p>\n        <ul>\n            <li><strong>Guest Parameters:<\/strong> Location, budget, and desired stay duration.<\/li>\n            <li><strong>Listing Quality:<\/strong> Accuracy of description, number of high-quality images, and \"Verified\" status.<\/li>\n            <li><strong>Host Reputation:<\/strong> Your response rate, history of successful bookings, and Guest reviews.<\/li>\n            <li><strong>Guest Preferences:<\/strong> Previous search history and saved listings. Vasuko may offer \"Promoted Listings\" for an additional fee, which will be clearly identified as \"Sponsored\" or \"Promoted\" to Guests.<\/li>\n        <\/ul>\n\n        <h3>5.4 Professional Responsibilities<\/h3>\n        <ul>\n            <li><strong>Platform Integrity:<\/strong> You agree not to encourage Guests to book \"off-platform\" to avoid service fees. Such actions bypass our safety features and will result in the permanent removal of your Listing.<\/li>\n        <\/ul>\n\n        <h3>5.5 Hosting as a Team or Organization<\/h3>\n        <p>If you host as a business, property management company, or family team, you are liable as the primary Host for the acts of everyone involved in providing the service. You represent that you are authorized to bind your organization to these Terms and that your business is in good standing with the Office of the Company Registrar (OCR) and the Department of Commerce where applicable.<\/p>\n\n        <h3>5.6 Your Assumption of Risk<\/h3>\n        <p>You acknowledge that hosting carries inherent risks (such as property damage or guest disputes). You assume the entire risk arising out of your use of the Vasuko Platform and your interaction with Members. You agree that you have investigated the legal requirements of your specific Municipality\/Ward and are not relying on any legal statements made by Vasuko.<\/p>\n\n        <h3>5.7 Insurance and Liability<\/h3>\n        <ul>\n            <li><strong>Self-Insurance:<\/strong> Vasuko currently does not provide a global \"Host Guarantee.\" We strongly recommend that Hosts obtain their own property and liability insurance to cover potential damage or Guest injuries.<\/li>\n            <li><strong>Claims Cooperation:<\/strong> In the event of a dispute or a damage claim, you agree to cooperate fully with Vasuko and any third-party mediators to resolve the issue in a timely and fair manner.<\/li>\n        <\/ul>\n\n        <h2>6. Cancellations, Reservation Issues, and Booking Modifications<\/h2>\n        \n        <h3>6.1 Cancellations and Host Accountability<\/h3>\n        <p>As a Host, your payout for a cancelled Reservation is generally determined by the Cancellation Policy you selected for your Listing. However, hosting on Vasuko requires a commitment to reliability.<\/p>\n        <ul>\n            <li><strong>Host-Initiated Cancellations:<\/strong> You should not cancel on a Guest without a valid reason (such as a documented emergency or a \"Major Disruptive Event\" as defined by Vasuko). If you cancel without a valid reason, Vasuko may impose a Cancellation Fee and other consequences, such as blocking your calendar for those dates or lowering your search ranking.<\/li>\n            <li><strong>Guest Refunds:<\/strong> Your payout will be reduced by the amount we refund to the Guest if:\n                <ol>\n                    <li>The Guest experiences a Reservation Issue (e.g., the room is occupied by someone else, is unsanitary, or lacks promised essentials like water\/electricity).<\/li>\n                    <li>A Major Disruptive Event (e.g., natural disasters in Nepal or government-mandated lockdowns) occurs.<\/li>\n                    <li>The Reservation is cancelled due to a violation of our Terms.<\/li>\n                <\/ol>\n            <\/li>\n            <li><strong>Recovery of Funds:<\/strong> If a Guest receives a refund after you have already been paid (via eSewa or Bank Transfer), you agree that Vasuko may recover that amount from you. This includes deducting the refund amount from your future payouts or requiring a direct repayment.<\/li>\n            <li><strong>Payout Delays:<\/strong> If Vasuko reasonably expects to provide a refund to a Guest based on a reported issue, we reserve the right to delay the release of your payout until a final investigation is completed.<\/li>\n            <li><strong>Precedence:<\/strong> You acknowledge that Vasuko\u2019s Guest Reliability Policy and these Terms take precedence over your individual house cancellation policy in situations involving safety, fraud, or misrepresentation.<\/li>\n        <\/ul>\n\n        <h3>6.2 Booking Modifications<\/h3>\n        <p>Hosts and Guests are responsible for any Booking Modifications (e.g., extending a stay or changing the number of guests) agreed upon through the Vasuko Platform.<\/p>\n        <ul>\n            <li><strong>Additional Costs:<\/strong> You agree to pay any additional service fees or taxes associated with a Booking Modification.<\/li>\n            <li><strong>Manual Adjustments:<\/strong> Any changes made \"offline\" (outside the app) are not protected by Vasuko\u2019s payment security or dispute resolution services.<\/li>\n        <\/ul>\n\n        <h2>7. Taxes<\/h2>\n        \n        <h3>7.1 Host Tax Obligations<\/h3>\n        <p>As a Host, you are solely responsible for understanding and fulfilling your obligations under the Income Tax Act, 2058 and local municipal bylaws. This includes:<\/p>\n        <ul>\n            <li><strong>Reporting & Payment:<\/strong> You are responsible for reporting your rental income and paying the applicable House Rent Tax (Ghar Bahal Kar) to your local Ward Office or Municipality.<\/li>\n            <li><strong>Inclusions:<\/strong> You must determine if your Listing price should include VAT (if you are a VAT-registered entity) or other indirect taxes.<\/li>\n            <li><strong>TDS Compliance:<\/strong> If you are hosting a Guest that is a registered business\/entity, they may be required by law to deduct TDS from the rent. You are responsible for managing these tax certificates.<\/li>\n        <\/ul>\n\n        <h3>7.2 Collection and Remittance by Vasuko<\/h3>\n        <p>In certain jurisdictions or as required by future Nepalese regulations, Vasuko may facilitate the collection and remittance of Taxes on behalf of Hosts.<\/p>\n        <ul>\n            <li><strong>Authorization:<\/strong> You authorize Vasuko to collect applicable taxes (such as VAT or local occupancy levies) from Guests and remit them to the relevant Tax Authority (e.g., the IRD).<\/li>\n            <li><strong>Transparency:<\/strong> Any taxes collected by Vasuko will be clearly identified on your transaction records and payout summaries.<\/li>\n            <li><strong>Clawbacks:<\/strong> If Vasuko remits taxes on your behalf that are later found to be insufficient, we reserve the right to seek additional amounts from you, including by deducting such amounts from your future payouts.<\/li>\n            <li><strong>Cessation:<\/strong> Vasuko retains the right to cease tax collection services in any jurisdiction upon providing prior notice to affected Members.<\/li>\n        <\/ul>\n\n        <h3>7.3. Tax Information and Withholding<\/h3>\n        <p>To comply with Nepal's evolving digital service tax laws and the Electronic Transactions Act:<\/p>\n        <ul>\n            <li><strong>Documentation:<\/strong> You must provide accurate tax documentation (such as your PAN\/VAT Certificate) upon request.<\/li>\n            <li><strong>Withholding:<\/strong> If you fail to provide sufficient documentation, or if required by the IRD, Vasuko may withhold a portion of your payouts (as TDS or other mandatory withholdings) and remit it to the government as required by law.<\/li>\n            <li><strong>Electronic Invoicing:<\/strong> You agree that Vasuko may issue electronic invoices or similar documentation on your behalf to Guests to facilitate accurate tax reporting and compliance with the Internal Billing Guidelines of Nepal.<\/li>\n        <\/ul>\n\n        <div class=\"section-divider\">GENERAL TERMS<\/div>\n\n        <h2>8. Reviews and Ratings<\/h2>\n        <p><strong>Host Reviews<\/strong><br>\n        After each stay, Guests have the opportunity to review their Host. Reviews are an important part of building trust within the Vasuko community.<\/p>\n        <ul>\n            <li><strong>Accuracy & Integrity:<\/strong> Guest reviews must be accurate and may not contain discriminatory, offensive, defamatory language, or violate the Electronic Transactions Act, 2063, or our Content Policy.<\/li>\n            <li><strong>Verification Disclaimer:<\/strong> Vasuko may use automated tools to flag suspicious patterns but does not verify reviews for accuracy. Guests should use their own judgment when reading reviews.<\/li>\n            <li><strong>Removal:<\/strong> Vasuko reserves the right to remove reviews that are abusive, misleading, constitute blackmail (e.g., threatening a negative review to gain compensation), or include private contact information.<\/li>\n        <\/ul>\n\n        <h2>9. Content<\/h2>\n        <p>Parts of the Vasuko Platform enable you to provide, share, or communicate text and photos (\u201cContent\u201d).<\/p>\n        <ul>\n            <li><strong>9.1 License Grant:<\/strong> By providing Content, you grant Vasuko a non-exclusive, worldwide, royalty-free, perpetual, and transferable license to access, use, store, copy, modify, distribute, publish, and transmit such Content. This allows us to promote the Vasuko Platform on the Internet and social networks (e.g., using a Host's room photo for a Vasuko Facebook ad).<\/li>\n            <li><strong>9.2 Privacy Compliance:<\/strong> If Content includes personal information (like a photo with a person\u2019s face), it will only be used in accordance with our Privacy Policy and the Individual Privacy Act, 2075.<\/li>\n            <li><strong>9.3 Ownership:<\/strong> You warrant that you either own the Content you upload or are authorized to grant us these rights. You are solely responsible if your Content infringes on the intellectual property (copyright) or privacy rights of any third party.<\/li>\n            <li><strong>9.4 Prohibited Content:<\/strong> Content must not be obscene, harassing, deceptive, violent, or illegal under the laws of Nepal.<\/li>\n            <li><strong>9.5 AI and Automated Tools:<\/strong> Vasuko may provide automated tools to generate descriptions or translate Content (e.g., translating a \"Nepali\" room description into \"English\" for international tourists). You are responsible for confirming the accuracy of any such generated or translated Content before it is published.<\/li>\n        <\/ul>\n\n        <h2>10. Fees<\/h2>\n        \n        <h3>10.1 Service Fees<\/h3>\n        <p>Vasuko charges a service fee to Guests for the right to use the Platform.<\/p>\n        <ul>\n            <li><strong>Calculation:<\/strong> The service fee is calculated as a percentage of the Listing price. Detailed information on the current fee structure is available on our Service Fees & Pricing page.<\/li>\n            <li><strong>Transparency:<\/strong> Any applicable fees will be clearly displayed to Guests as part of the \"Total Price\" before a Booking is confirmed.<\/li>\n        <\/ul>\n\n        <h3>10.2 Refundability of Fees<\/h3>\n        <ul>\n            <li><strong>General Rule:<\/strong> Except as otherwise provided on the Vasuko Platform or required by the Consumer Protection Act, 2075, Vasuko service fees are generally non-refundable once a booking is successfully completed.<\/li>\n            <li><strong>Mandatory Refunds:<\/strong> If a Guest is entitled to a full refund due to a Reservation Issue (e.g., the room does not match the description) or a Host cancellation, Vasuko will refund the service fee in full along with the booking amount.<\/li>\n            <li><strong>Failed Transactions:<\/strong> If an online payment transaction fails or is cancelled before the service is initiated, Vasuko will ensure a full refund is processed within 7 business days in compliance with the E-Commerce Guidelines, 2026.<\/li>\n        <\/ul>\n\n        <h3>10.3 Fee Changes<\/h3>\n        <p>Vasuko reserves the right to modify service fees at any time.<\/p>\n        <ul>\n            <li><strong>Notice Period:<\/strong> We will provide Members with at least 30 days' notice via email or in-app notification before any fee changes become effective.<\/li>\n            <li><strong>Existing Bookings:<\/strong> Fee changes will not affect Reservations made prior to the effective date of the change.<\/li>\n            <li><strong>Termination Right:<\/strong> If you disagree with a fee change, you may terminate this agreement at any time by deleting your account, subject to the completion of any pending Reservations.<\/li>\n        <\/ul>\n        <p>To make these Platform Rules effective for an enterprise-level startup in Nepal, we must align them with the Electronic Transactions Act, 2063 and the Cyber Security Policy, 2080.<\/p>\n        <p>For Vasuko, these rules are your \"Digital Constitution.\" They give you the legal power to ban users who try to bypass your eSewa\/Bank payment system or who violate local Tole Sudhar peace and security.<\/p>\n\n        <h3>10.4 Right to Offset (The Penalty Recovery Clause)<\/h3>\n        <p>To maintain the financial balance of the platform and recover costs incurred due to Host-initiated cancellations or damage claims, Vasuko reserves the \"Right to Offset.\"<\/p>\n        <ul>\n            <li><strong>Debt Recovery:<\/strong> If a Host owes Vasuko any amount\u2014including but not limited to Cancellation Penalties, overpayments, or Guest compensation fees\u2014Vasuko is entitled to deduct that exact amount from the Host\u2019s \"My Earnings\" wallet.<\/li>\n            <li><strong>Order of Deduction:<\/strong> Offsetting will occur automatically before the funds move from \"Pending\" to \"Available.\" If the current \"My Earnings\" balance is insufficient to cover the debt, the remaining balance will be deducted from the Host\u2019s future bookings until the debt is cleared.<\/li>\n            <li><strong>Transparency:<\/strong> Any such deduction will be clearly itemized in the Host\u2019s transaction history as an \"Offset Deduction\" with a reference to the specific booking or penalty that triggered it.<\/li>\n        <\/ul>\n\n        <h2>11. VASUKO PLATFORM RULES<\/h2>\n        \n        <h3>11.1 Rules of Conduct<\/h3>\n        <p>You must follow these rules and must not help or induce others to break or circumvent them.<\/p>\n        \n        <h4>A. Act with Integrity and Respect<\/h4>\n        <ul>\n            <li><strong>No Misrepresentation:<\/strong> Do not lie, misrepresent your property, or pretend to be someone else. Every account must be tied to a real Nagarikta\/NID.<\/li>\n            <li><strong>Respectful Communication:<\/strong> Be polite and respectful in all in-app chats. Harassment of any kind will result in an immediate ban.<\/li>\n            <li><strong>No Circumvention:<\/strong> Do not attempt to evade these Terms by creating duplicate accounts or fake listings.<\/li>\n            <li><strong>Non-Discrimination:<\/strong> Follow our Nondiscrimination Policy. Do not deny housing based on caste, religion, or ethnicity, in accordance with the Constitution of Nepal.<\/li>\n        <\/ul>\n\n        <h4>B. Technical Integrity (No Hacking)<\/h4>\n        <ul>\n            <li><strong>No Scraping or Bots:<\/strong> Do not use crawlers, scrapers, or automated means to collect data from the Vasuko Platform.<\/li>\n            <li><strong>Security:<\/strong> Do not attempt to bypass any security measures, firewalls, or encryption used to protect User data.<\/li>\n            <li><strong>Reverse Engineering:<\/strong> Do not decompile or disassemble any part of the Vasuko App software.<\/li>\n            <li><strong>System Performance:<\/strong> Do not take any action that could damage the performance or proper functioning of the app (e.g., Spamming or DDoS attacks).<\/li>\n        <\/ul>\n\n        <h4>C. Authorized Use Only<\/h4>\n        <ul>\n            <li><strong>Personal Data:<\/strong> You may only use another Member\u2019s personal info (like a phone number) to facilitate a confirmed booking. Selling or using this data for unsolicited marketing is strictly prohibited.<\/li>\n            <li><strong>No Off-Platform Payments:<\/strong> Do not request, make, or accept payments outside of the Vasuko Platform (e.g., direct cash-to-hand for the first month's rent) to avoid service fees or taxes. Doing so removes all your legal protections and insurance rights.<\/li>\n            <li><strong>Search Manipulation:<\/strong> Do not engage in \"fake reviews\" or \"click farming\" to manipulate our search algorithm.<\/li>\n            <li><strong>Branding:<\/strong> Do not use Vasuko\u2019s name, logo, or branding without our explicit written consent.<\/li>\n        <\/ul>\n\n        <h4>D. Honor Legal Obligations<\/h4>\n        <ul>\n            <li><strong>Follow Local Laws:<\/strong> Understand and follow the laws of Nepal, including the Individual Privacy Act and local Ward\/Municipality regulations.<\/li>\n            <li><strong>Party & Event Policy:<\/strong> Do not organize or facilitate unauthorized parties or loud events that disturb the neighborhood or violate Tole Sudhar Samiti rules.<\/li>\n            <li><strong>Prohibited Services:<\/strong> Do not offer listings for illegal purposes. We have a Zero-Tolerance Policy for human trafficking, prostitution, or the storage of illegal substances.<\/li>\n        <\/ul>\n\n        <h3>11.2 Reporting Violations<\/h3>\n        <ul>\n            <li><strong>Imminent Danger:<\/strong> If a Member or Listing poses an imminent risk of harm to a person or property (e.g., violence or fire), contact the Nepal Police (100) immediately before contacting Vasuko.<\/li>\n            <li><strong>In-App Reporting:<\/strong> If you believe a Member has violated these Rules, report them via the \"Report User\" button in the app. Vasuko may request a copy of any police report filed.<\/li>\n            <li><strong>Discretion:<\/strong> Except as required by law, Vasuko is not obligated to take action in response to every report but will investigate all safety-related concerns.<\/li>\n        <\/ul>\n\n        <h3>11.3 Copyright & IP Notifications<\/h3>\n        <p>If you believe that any Content on the Vasuko Platform (like a photo or description) infringes on your copyright, please notify our Data Protection Officer at <a href=\"mailto:support@vasuko.com\">support@vasuko.com<\/a> in accordance with the Copyright Act, 2059.<\/p>\n\n        <h2>12. Termination, Suspension, and Other Measures<\/h2>\n        \n        <h3>12.1 Term<\/h3>\n        <p>The agreement between you and Vasuko is effective the moment you access the Vasuko Platform (e.g., creating an account or searching for a room) and remains in effect until either you or we terminate it.<\/p>\n\n        <h3>12.2 Termination<\/h3>\n        <ul>\n            <li><strong>By You:<\/strong> You may terminate this agreement at any time by deleting your account within the App or by emailing <a href=\"mailto:support@vasuko.com\">support@vasuko.com<\/a>.<\/li>\n            <li><strong>By Vasuko (Standard):<\/strong> We may terminate this agreement for any reason by providing you 30 days\u2019 notice via your registered email or mobile number.<\/li>\n            <li><strong>By Vasuko (Immediate):<\/strong> We may terminate this agreement immediately and without notice if:\n                <ol>\n                    <li>You materially breach these Terms or our Policies.<\/li>\n                    <li>You violate the laws of Nepal (e.g., the Electronic Transactions Act).<\/li>\n                    <li>We reasonably believe termination is necessary to protect Vasuko, its Members, or third parties from fraud or safety risks.<\/li>\n                <\/ol>\n            <\/li>\n            <li><strong>Inactivity:<\/strong> If your account has been inactive for more than two years, we reserve the right to terminate the account without prior notice.<\/li>\n        <\/ul>\n\n        <h3>12.3 Member Violations and Measures<\/h3>\n        <p>If you violate our standards, Vasuko may, at its sole discretion and with or without prior notice:<\/p>\n        <ul>\n            <li><strong>Suspend or Limit Access:<\/strong> Temporarily block your ability to log in or use specific features.<\/li>\n            <li><strong>Content Removal:<\/strong> Delete or hide Listings, Reviews, or photos that violate our Content Policy.<\/li>\n            <li><strong>Booking Cancellation:<\/strong> Cancel pending or confirmed Reservations. If a Host's account is suspended for a safety violation, all upcoming bookings will be cancelled to protect Guests.<\/li>\n            <li><strong>Appeals:<\/strong> For minor violations, you will be given an opportunity to resolve the issue. You may appeal any suspension by contacting our support team within 7 days of the action.<\/li>\n        <\/ul>\n\n        <h3>12.4 Legal Mandates<\/h3>\n        <p>Vasuko will take any action necessary to comply with the order of a Nepali Court, the Nepal Police, or other governmental bodies (such as the Department of IT), including providing user data or suspending accounts as legally required.<\/p>\n\n        <h3>12.5 Effect of Termination<\/h3>\n        <ul>\n            <li><strong>Host Termination:<\/strong> If you are a Host and your account is terminated, all confirmed bookings are automatically cancelled, and Guests will receive a full refund.<\/li>\n            <li><strong>Guest Termination:<\/strong> If you are a Guest and your account is terminated, confirmed bookings are cancelled, and any refund will depend on the Listing\u2019s cancellation policy.<\/li>\n            <li><strong>No Re-Registration:<\/strong> If your account was terminated by Vasuko for a policy violation, you are strictly prohibited from registering a new account or using another Member\u2019s account to access the Platform.<\/li>\n        <\/ul>\n\n        <h3>12.6 Survival<\/h3>\n        <p>Sections that by their nature should survive termination (such as Liability, Indemnification, and Dispute Resolution) will remain in effect even after you stop using the app.<\/p>\n\n        <h2>13. Modification of Terms<\/h2>\n        <p>Vasuko may modify these Terms at any time to reflect changes in law or our business.<\/p>\n        <ul>\n            <li><strong>Notice of Material Changes:<\/strong> If we make significant changes, we will post the revised Terms and update the \u201cLast Updated\u201d date. We will provide you with notice (via email or in-app notification) at least 30 days before the changes become effective.<\/li>\n            <li><strong>Acceptance:<\/strong> Your continued use of the Vasuko Platform after the 30-day notice period constitutes your acceptance of the new Terms. If you disagree, you must delete your account before the effective date.<\/li>\n        <\/ul>\n\n        <h2>14. Resolving Complaints and Damage Reports<\/h2>\n        \n        <h3>14.1 Damage Reports<\/h3>\n        <p>If a Host provides valid evidence (such as \"Before and After\" photos or repair estimates) that you, your guests, or your pets have directly caused:<\/p>\n        <ul>\n            <li><strong>(i) Physical Damage:<\/strong> Loss or damage to the Accommodation\u2019s structure, furniture, or personal property belonging to the Host.<\/li>\n            <li><strong>(ii) Income Loss:<\/strong> Loss of booking income from other Vasuko members because the room was uninhabitable due to your damage.<\/li>\n            <li><strong>(iii) Excessive Cleaning:<\/strong> Cleaning costs that significantly exceed a standard cleaning fee (e.g., deep cleaning required due to smoking or biohazards).<\/li>\n        <\/ul>\n        <p>These items together are referred to as a \"Damage Report.\"<\/p>\n\n        <h3>14.2 Damage Responsibility<\/h3>\n        <p>Guests are responsible for any damage caused during their stay. Vasuko does not mediate or collect compensation for damages. Hosts and Guests must resolve any issues directly.<\/p>\n\n        <h2>15. Vasuko\u2019s Role and Authority<\/h2>\n        \n        <h3>15.1 Our Role as a Platform<\/h3>\n        <p>Vasuko provides a digital marketplace that enables Members to publish, search for, and book Host Services. While we strive for a high-quality community, Vasuko does not and cannot control the conduct of Guests and Hosts.<\/p>\n        \n        <h3>15.2 Right to Monitor and Verify<\/h3>\n        <p>You acknowledge that Vasuko has the right, but not the obligation, to monitor use of the Platform and verify Member information. We may review, disable access to, or edit Content and in-app messages to:<\/p>\n        <ul>\n            <li><strong>Security:<\/strong> Prevent fraud, assess risk, and provide customer support.<\/li>\n            <li><strong>Compliance:<\/strong> Ensure all Members follow these Terms and our Community Standards.<\/li>\n            <li><strong>Legal Mandates:<\/strong> Comply with orders from the Nepal Police, Department of IT, or any Nepali Court.<\/li>\n            <li><strong>Quality Control:<\/strong> Remove Listings that do not meet our safety or quality standards.<\/li>\n        <\/ul>\n\n        <h3>15.3 Discretionary Administration<\/h3>\n        <p>Vasuko administers its policies (including refund decisions and \"Major Disruptive Events\") at its sole discretion. Members agree to cooperate with Vasuko in good faith and provide information requested during any investigation into the abuse of the Platform.<\/p>\n\n        <h2>16. Member Accounts<\/h2>\n        \n        <h3>16.1 Registration Requirements<\/h3>\n        <p>To access most features of Vasuko, you must register an account.<\/p>\n        <ul>\n            <li><strong>Eligibility:<\/strong> Registration is only permitted for natural persons 18 years or older or legally registered entities\/partnerships in Nepal.<\/li>\n            <li><strong>Accuracy:<\/strong> You must provide accurate and complete information during registration (including your full legal name as per your Nagarikta) and keep it updated.<\/li>\n            <li><strong>Non-Transferability:<\/strong> You may not transfer your account to another person.<\/li>\n        <\/ul>\n\n        <h3>16.2 Account Security<\/h3>\n        <p>You are responsible for maintaining the confidentiality of your credentials (passwords\/OTP). You are legally liable for all activities conducted through your account. You must notify Vasuko immediately at <a href=\"mailto:support@vasuko.com\">support@vasuko.com<\/a> if you suspect your account has been compromised.<\/p>\n\n        <h3>16.3 Identity and Background Verifications<\/h3>\n        <p>To the extent permitted by the Individual Privacy Act, 2075, Vasuko may (but is not obligated to):<\/p>\n        <ol>\n            <li>Ask you to provide government-issued identification (Nagarikta\/Passport\/NID).<\/li>\n            <li>Undertake checks to verify your identity or background.<\/li>\n            <li>Screen you against third-party databases or public records of criminal convictions to ensure the safety of our community.<\/li>\n        <\/ol>\n\n        <h2>17. Disclaimer of Warranties<\/h2>\n        <p>The Vasuko Platform and all Content are provided \u201cas is\u201d without warranty of any kind. Vasuko App Solutions Pvt. Ltd. (including its affiliates) disclaims all warranties, whether express or implied.<\/p>\n        <ul>\n            <li><strong>No Endorsement:<\/strong> We do not warrant the safety, legality, quality, or suitability of any Guest, Host, or Listing. Any \"Verified\" badge indicates only that a specific identification process (like Nagarikta check) was completed; it is not a guarantee of future conduct.<\/li>\n            <li><strong>Platform Performance:<\/strong> We do not warrant that the app will be uninterrupted or error-free, especially considering the variability of mobile networks in Nepal.<\/li>\n            <li><strong>Verification Limits:<\/strong> While we strive for accuracy, we do not warrant that our background checks will identify all past misconduct or prevent future incidents. You use the Platform and interact with Members at your own risk.<\/li>\n        <\/ul>\n\n        <h2>18. Limitations on Liability<\/h2>\n        <p>To the maximum extent permitted by the laws of Nepal, neither Vasuko nor its personnel will be liable for any incidental, special, or consequential damages. This includes lost profits, loss of data, or damages for personal injury or emotional distress arising out of:<\/p>\n        <ol>\n            <li>Your use of (or inability to use) the Vasuko Platform.<\/li>\n            <li>Any interactions, meetings, or stays with other Members.<\/li>\n            <li>The publishing or booking of a Listing.<\/li>\n        <\/ol>\n\n        <h2>19. Indemnification<\/h2>\n        <p>You agree to release, defend, and indemnify Vasuko App Solutions Pvt. Ltd. and its personnel from and against any claims, liabilities, damages, and expenses (including reasonable legal fees) arising out of:<\/p>\n        <ul>\n            <li>Your breach of these Terms or our Policies.<\/li>\n            <li>Your improper use of the Vasuko Platform.<\/li>\n            <li>Your interaction with any Member or stay at an Accommodation, including any injuries or losses.<\/li>\n            <li>Your failure to accurately report or remit House Rent Tax (Ghar Bahal Kar).<\/li>\n            <li>Your violation of any laws of Nepal or third-party rights (such as copyright or privacy).<\/li>\n        <\/ul>\n\n        <h2>20. Contracting Entity<\/h2>\n        <p>You are contracting with Vasuko App Solutions Pvt. Ltd., a company incorporated under the laws of Nepal, with its registered office in Ghorahi-15, Dang. All transactions, disputes, and interactions on the Platform are governed by this entity.<\/p>\n\n        <h2>21. DISPUTE RESOLUTION AND GOVERNING LAW<\/h2>\n        \n        <h3>21.1 Governing Law<\/h3>\n        <p>These Terms are governed by the laws of Nepal, including the Civil Code, 2074, the Electronic Transactions Act, 2063, and the E-Commerce Act, 2025 (2081).<\/p>\n\n        <h3>21.2 Informal Dispute Resolution<\/h3>\n        <p>Before filing any formal legal claim, you and Vasuko agree to notify each other of a dispute and attempt to negotiate an informal resolution in good faith for at least 30 days.
